• Make payments according to agreed-upon terms
• Ensure all materials provided to us do not infringe on third-party rights

4. Payment Terms

Payment terms are specified in individual service agreements or proposals. General terms include:

• All prices are quoted in Australian Dollars (AUD) unless otherwise specified
• GST applies to all services provided within Australia
• Payment is due within the timeframe specified in your invoice
• Late payments may incur additional fees or service suspension

Client Materials

Deliverables

Upon full payment, you will own the deliverables created specifically for you, unless otherwise agreed in writing. We may retain copies for portfolio and promotional purposes unless you object in writing.

We agree to keep confidential all non-public information provided by you in connection with our services. This includes business strategies, customer data, and proprietary information. This obligation survives termination of our agreement.

7. Limitation of Liability

To the maximum extent permitted by law:

• LOC'X shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you for the services in question
• We do not guarantee specific results from our services, as outcomes depend on many factors beyond our control
• We are not responsible for third-party platform changes, algorithm updates, or policy modifications

8. Termination

Either party may terminate services according to the terms specified in individual service agreements. Upon termination:

• You remain responsible for payment of all services rendered up to the termination date
• We will provide reasonable transition assistance
• Access to any managed accounts will be transferred back to you
• Confidentiality obligations continue to apply

9. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to the laws of New South Wales, Australia, and the exclusive jurisdiction of its courts.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the new terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
